Understanding your needs
Key to our approach is that we really get to know you and your business, the key drivers and what makes your business unique.
We will sit down with you to fully understand what it is you are trying to achieve. Are you looking to sell, get investment, merge etc – what’s the objective and the reasons for selling and the options considered?

Analysing your business data
Once we fully understand your goals and requirements, we’ll analyse your accounts and finances along with your objectives and scrutinise them based on the requirements of a sale and your value expectations.

Providing the advice you need
With a real understanding of what the business is trying to achieve we can advise whether we think you will be able to achieve these targets or if any other potential routes will be better and more appropriate for you and your business.
Part of the initial process of getting to know you is learning how the business looks on paper and advising of any work that needs to be carried out and implemented before putting it in front of any potential investors or buyers and undertaking any due diligence.
This approach allows us to foresee and overcome any hurdles before they actually happen so when the actual process of due diligence takes place your business has the answers already in place or the issues have been accounted for.
Our team are experienced in knowing specific requirements needed for the various sales outcomes and can recommend the appropriate requirements to get to maximise value and get the business ready.
We’ll also be able suggest what we think the business should be valued at based on the recognised valuation calculations used within the market.

Maximising value
Once you have agreed on the direction and the corporate financier has been assigned we work alongside them to shape your accounts in line with the appropriate acquisition process, making sure the relevant information is in place and presenting you in the best light.
A range of documents will be generated to present the business to the market including:
Opportunity Summary – The corporate financier will research the market and initially create an opportunity summary (teaser document) that will contain the key opportunities and form an initial sales document without providing any confidential business information. This will be used as a method of testing the market and seeing what interest there is.
Information Memorandum – This will showcase the full opportunity, highlighting all the key information about your business and potential to the market place.
Financial Forecasts – The opportunity of the business will often be highlighted through its potential growth and we will create a set of clear and detailed forecasts to illustrate the opportunity to the market.
Armed with the key communications tools and working on your behalf the corporate financier reaches out to the market and communicates with them
to find the right interested parties.

Our personal approach means we will look out for you throughout the process and offer our best impartial advice and support. We don’t just think about what’s best for the business, but also what’s best for you personally, by offering advice on how best to exit financially.
The sale is generally managed by the corporate financier and they will communicate and negotiate on your behalf. Making sure you are in the loop and are aware of possible investors and offers on the table.
We will supply many of the relevant financial data files needed for the data room that will be set up and managed by the corporate financier.
Throughout the sale process we are here to make sure appropriate data and enquiries can be answered and supplied quickly and efficiently. Also making sure that financial data, accounts and forecasts are updated as the process goes along.
